Terms of Use

Agreement and operator

ChangeOrderKit is operated by Ifeoluwa Adegbite in Nigeria. By accessing or using the service, you agree to these Terms of Use and the Privacy Policy. If you do not agree, do not use the service.

Eligibility and business use

You must be at least 18 years old and legally able to enter an agreement. If you use ChangeOrderKit for a company or another person, you confirm that you have authority to act for them. The service is intended for business and professional project communication.

Accounts and security

You must provide accurate account information, protect your password, and promptly report suspected unauthorised access. You are responsible for activity performed through your account. Do not share credentials or attempt to access another user's records.

What the service provides

ChangeOrderKit provides calculation tools, document and email templates, saved business settings, and related workflow features for recording additional work, pricing, schedule impact, approval language, and payment terms.

Features may change during the MVP and pilot stages. Approval, typed-name, document-export, or future payment features are workflow aids and do not guarantee that an agreement is legally enforceable, a customer will pay, or a dispute will be resolved in your favour.

Client approval links

Pro users may create an expiring capability link to an immutable document snapshot. You are responsible for sending it to the intended client through an appropriate channel and, while Pro access remains active, for revoking or replacing it when necessary. Anyone with a valid link can review that snapshot without signing in.

A client may approve by typing a name, optionally adding a role, and explicitly accepting the acknowledgement, or may decline with an optional reason. The first valid final decision wins and cannot be overwritten through the link. A typed name and audit timeline are evidence of the workflow; ChangeOrderKit does not represent them as a cryptographic signature, a universally qualified electronic signature, notarised record, or guaranteed substitute for jurisdiction-specific formalities.

Editing the working document after sharing does not alter the earlier snapshot. If terms change, create and send a new link and make clear which version the client should review. Keep any additional records required by your contract, insurer, regulator, or local law.

Your content and responsibilities

You retain ownership of the business, customer, project, and document content you enter. You grant ChangeOrderKit and its service providers a limited permission to host, process, transmit, and display that content only as needed to provide, secure, and improve the service.

You are responsible for:

  • having permission to enter and use customer or third-party information;
  • reviewing every calculation, description, exclusion, deadline, and payment term;
  • keeping appropriate independent records and backups;
  • complying with contracts, professional rules, tax obligations, and local law; and
  • obtaining any consent required for electronic communications or approvals.

No professional advice

ChangeOrderKit does not provide legal, tax, accounting, engineering, construction, debt-collection, or other professional advice. Templates are general starting points, not a substitute for advice from a qualified professional familiar with your work and jurisdiction.

Acceptable use

You must not use the service to:

  • break the law, infringe rights, deceive, harass, or facilitate fraud;
  • upload malicious code or interfere with the service or another account;
  • probe, bypass, or defeat authentication, access controls, or rate limits;
  • collect information from the service through unauthorised automated means; or
  • store passwords, payment-card details, government identifiers, or unnecessary sensitive data in document fields.

Paid features and external providers

Some features may be offered through paid pilots, one-time purchases, or subscriptions. The price, included features, renewal terms, and refund terms will be shown before purchase. Access is provided only after payment is verified.

External checkout, hosting, database, analytics, or payment services are governed by their own terms. ChangeOrderKit is not responsible for third-party services outside its reasonable control.

Availability and changes

The service may be changed, suspended, or discontinued, and may occasionally be unavailable for maintenance, security, provider outages, or other operational reasons. We will use reasonable efforts to avoid unnecessary disruption but do not guarantee uninterrupted availability.

Intellectual property

ChangeOrderKit's software, branding, site design, and original template structure are protected by applicable intellectual-property laws. These Terms give you a limited, revocable, non-transferable right to use the service and generated outputs for your own legitimate business activities. They do not transfer ownership of the service itself.

Disclaimer

To the maximum extent permitted by law, the service is provided on an "as-is" and "as-available" basis. We do not warrant that outputs are complete, error-free, legally sufficient, fit for a particular project, or accepted by any customer, court, regulator, or payment provider.

Limitation of liability

To the maximum extent permitted by law, ChangeOrderKit and its operator will not be liable for indirect, incidental, special, consequential, or punitive loss, or for lost profit, revenue, opportunity, data, goodwill, customer payment, or business interruption arising from use of the service.

Where liability cannot be excluded, total liability will not exceed the amount you paid for the service during the three months before the event giving rise to the claim. Nothing in these Terms excludes rights or liability that applicable law does not allow to be excluded or limited.

Suspension and termination

You may stop using the service at any time. Access may be suspended or terminated for material breach, unlawful use, security risk, non-payment, or conduct that threatens the service or other users. Provisions that by their nature should continue after termination will remain effective.

Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Mandatory consumer protections in your country continue to apply where they cannot lawfully be excluded.

Changes and contact

These Terms may be updated as the service changes. The revised date will appear at the top of this page. Material changes may also be communicated in the product or by email where appropriate.
